(5)Dealingwithtrademarkregistration;

(6)HandlingotherlegalmattersonbehalfofpartyA;

(7)Providingabove-mentionedservicesinlinewithpartyA’srequirementsinpartyA’scompany

locationorotherplaceshomeandabroad.

PartyA’srightsandobligation

(1)Presentsrelevantdetailedmaterialsoftestimonyandfactstimelyandtruly;

(2)AssistspartyB’sattorneytoworkforpartyA’sinterestactivelyandpositively,andthe

requirementsforattorneyshallbeaccurateandreasonable;

(3)Paysthefeesoflegalcounselandothercostsfullyandtimelyinaccordancewiththe

agreement;

(4)WhenpartyB’sattorneydealswithlitigationandarbitrationonbehalfofpartyA,partyA

shallenterintoconsignmentagreementandnegotiatethepayment;

(5)PartyAcannotwithdrawthefeesoflegalcounselwhenoneofthesituationsasfollows

i)terminatethecontractandrequiretowithdrawthefeesoflegalcounselbecausepartyA

consignsotherlawfirmunilaterally;

ii)Requiretowithdrawthelegalcounselfeesfortheitsexpensivenesswhenthiscontract

expires;

iii)TerminatethecontractforthereasonsthatcannotattributetopartyB’sattorney;

(6)PartyAisresponsibleforthejudgeanddecisionindependentlyfortheitemoflegalcounsel;

partyAshallassumethedamagewhenhemakesthedecisionbasedonattorney’slegal

opinion,adviceandplanwhichisnotmadebyattorney’smisdemeanor.

PartyB’srightsandobligation

(1)PartyB’sattorneymustpresenttheservicecarefullyinthearticle2andprotectpartyA’s

lawfulinterestactually;

(2)Attorneymustkeepthestatesecret,commercialsecretandpersonalprivacywhichis

acquiredintheprocessofservice;

(3)IfpartyAfailedtopaythelegalcounselfeeorothercostswithoutduereasonsorpartyB’s

consent,orterminatethecontractwithoutreason,partyBisentitledtorequirepartyAto

paytheunpaidfeesandcostswithinterest;

(4)PartyBshallcollectpartyA’stheagencyfeediscountwhenpresenttheservicestatedabove

intheitem4ofarticle3;

(5)PartyBcannotterminatethecontractwithoutreason,orwithdrawallthelegalcounselfees

topartyA.

Thelegalcounselfeeiscomprisedoftwopartsasfollows:

(1)TwopartiesagreethatPartyAshouldpay40,

Thenecessaryandreasonablecostofaccommodation,transportation,communication,

authentication,interpretation,lyhappenedshallnotbemorethanthe

standardbelow:

i)Long-distancetrafficshalltakeeconomyclassofflightortrainofsoftseat,softsleeper;

ii)Citytrafficshalltaketaxi;

iii)Accommodation,communicationandmealsperdayshallbelessthan650RMBtotally

(specialcircumstancesshallbepermittedbypartyA);

iv)TranslationshallbedonebyTranslationCompany,andthefeesshallbenomorethan230
